These Terms and Conditions ("Terms") govern your access to and use of the Mirathis platform, website (mirathis.pro), and all related services (collectively, the "Service") operated by Naumera, UAB, a company registered in the Republic of Lithuania (hereinafter "Mirathis", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Mirathis provides an AI-powered Synthetic Workforce ecosystem — a suite of autonomous AI agents designed to assist with business and personal productivity tasks including analytics, code generation, customer support, sales, marketing, and administrative workflows. Users subscribe through our website and access these tools via a web-based dashboard.

To use the Service, you must create an account. When creating an account, you agree to:

• •Provide accurate, current, and complete information during registration.
• •Maintain and update your account information to keep it accurate and current.
• •Maintain the security and confidentiality of your login credentials.
• •Accept responsibility for all activities that occur under your account.
• •Notify us immediately of any unauthorized use of your account.

You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet this requirement.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent or unauthorized purposes.

Mirathis offers subscription-based access to the Service. Pricing details are available on our pricing page.

Merchant of Record: All payments are processed by Paddle.com Market Limited ("Paddle"), which acts as the Merchant of Record for all transactions. Paddle handles billing, invoicing, sales tax, and payment processing on our behalf. By purchasing a subscription, you also agree to Paddle's Terms of Use and Privacy Policy.

Auto-Renewal: Subscriptions automatically renew at the end of each billing period (monthly or annually) unless cancelled before the renewal date. You may cancel your subscription at any time through your account dashboard or by contacting our support team.

Price Changes: We reserve the right to modify subscription pricing. Any price changes will be communicated in advance and will take effect at the start of your next billing period.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• •Use the Service for any illegal, harmful, or fraudulent activity.
• •Attempt to reverse engineer, decompile, or disassemble any part of the Service.
• •Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure.
• •Use the Service to generate content that is unlawful, defamatory, harassing, or infringes on third-party rights.
• •Use automated scripts, bots, or other means to access the Service in a manner that exceeds normal usage.
• •Resell, sublicense, or redistribute access to the Service without our written consent.
• •Use the Service to develop competing products or services.
• •Upload malicious code, viruses, or any other harmful software.

Violation of these acceptable use terms may result in immediate suspension or termination of your account.

Our Property: The Service, including all software, algorithms, AI models, designs, logos, trademarks, and content created by Mirathis, is the exclusive property of Naumera, UAB or its licensors. All rights are reserved. Nothing in these Terms grants you any right, title, or interest in our intellectual property.

Your Data: You retain full ownership of all data, content, and materials that you upload, input, or create through the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive license to process your User Content solely for the purpose of providing and improving the Service.

AI-Generated Content: Content generated by our AI agents at your direction is provided for your use. We do not claim ownership over AI-generated outputs produced in response to your inputs. However, similar outputs may be generated for other users based on similar inputs.

We strive to provide reliable, high-quality service. However, the Service is provided on an "as is" and "as available" basis. We do not warrant that:

• •The Service will be uninterrupted, timely, secure, or error-free.
• •AI-generated outputs will be accurate, complete, or suitable for any particular purpose.
• •The Service will meet all of your specific requirements.
• •Any defects in the Service will be corrected.

You acknowledge that AI-generated content may contain errors or inaccuracies and should be reviewed before reliance. Mirathis is not liable for decisions made based on AI-generated outputs.

To the maximum extent permitted by applicable law, Naumera, UAB and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service.

Our total aggregate liability for any claims arising under or in connection with these Terms shall not exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

By You: You may terminate your account at any time by cancelling your subscription through your account dashboard or by contacting us at support@mirathis.pro. Upon cancellation, you will retain access to the Service until the end of your current billing period.

By Us: We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms, engage in prohibited activities, or if we are required to do so by law. We may also discontinue the Service with reasonable notice.

Effect of Termination: Upon termination, your right to access the Service ceases. We will retain your data for a reasonable period to allow you to export it, after which it will be deleted in accordance with our Privacy Policy.

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you via email or through the Service.

Your continued use of the Service after any changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should discontinue your use of the Service.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania and applicable European Union regulations, without regard to conflict of law principles.

Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Vilnius, Republic of Lithuania, unless mandatory consumer protection laws of your country of residence provide otherwise.

If you are a consumer in the European Union, you are entitled to bring proceedings in the courts of your country of residence. You may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
